Terms of Service
The agreement between you and CognitiveMedia when you use CognitiveMedia.

1. Acceptance
By creating an account or using CognitiveMedia (the “Service”), you agree to these Terms and our Privacy Policy. If you use the Service on behalf of an organization, you represent that you can bind that organization. If you don't agree, don't use the Service.
2. The service
CognitiveMedia lets you create, customize, and converse with AI-generated avatars, and lets account owners publish avatars for others to talk to. Responses are generated by artificial intelligence: they can be wrong, incomplete, or inappropriate despite our safeguards. AI output is not professional advice — medical, legal, financial, or otherwise — and you must not rely on it as such.
3. Accounts and acceptable use
You are responsible for your account, its security, and all activity under it. You agree not to: break the law; infringe others' rights; upload malicious code; attempt to breach, probe, or overload our systems; scrape or resell the Service; impersonate real people without their consent; use avatars to deceive, harass, or defraud; generate content that exploits minors; or use the Service to build a competing dataset or model. We may suspend or terminate accounts that violate these rules, with or without notice, and remove content at our discretion.
4. Your content
You retain ownership of prompts, knowledge documents, images, and other content you upload. You grant us a worldwide, non-exclusive, royalty-free license to host, process, transmit, and display that content solely to operate and improve the Service. You are responsible for having the rights to everything you upload and for the conduct of avatars you publish, including their compliance with laws that apply to your audience.
5. Plans, billing, and minutes
Paid plans bill monthly in advance through Stripe and include a monthly allotment of conversation minutes; unused minutes do not roll over. Metered overage, where enabled and opted into, bills at the rate shown on your plan. We may change pricing with at least 30 days' notice, effective at your next billing cycle. Except where required by law, payments are non-refundable; you can cancel any time and keep access until the period ends. We may suspend service for non-payment. Free trials are one per customer and may be modified or withdrawn.
6. Hardware
Where we supply holographic or other display hardware, those sales or rentals are governed by a separate order form or invoice; these Terms govern the software service running on them. Hardware warranties, if any, are stated on the applicable order.
7. Intellectual property
The Service, including software, design, and branding, belongs to CognitiveMedia and its licensors. Avatar likenesses and voices are provided under license from our technology partners; you may not extract, copy, or reuse them outside the Service.
8. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY REGARDING ACCURACY, AVAILABILITY, OR RELIABILITY OF AI-GENERATED CONTENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, COGNITIVEMEDIA WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THE SERVICE IS LIMITED TO THE GREATER OF $100 OR THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
10. Indemnity
You will defend and indemnify CognitiveMedia against claims arising from your content, your published avatars, or your breach of these Terms.
11. Disputes
These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules. Any dispute will be resolved in the state or federal courts of California, and you consent to their jurisdiction. Either party may seek relief in small-claims court or injunctive relief for IP misuse.
12. Text messaging (SMS) program
With your consent, CognitiveMedia sends automated text messages about your demos, bookings, account activity, and occasional offers. Message frequency: up to 4 messages per month. Message and data rates may apply depending on your mobile carrier and plan. Reply HELP for help or STOP at any time to cancel; after STOP you will receive one final message confirming your opt-out. Carriers are not liable for delayed or undelivered messages.
Consent to receive texts is not a condition of any purchase. You can enroll through our web form, verbally during a conversation with one of our avatars (non-marketing messages only), or with our staff. See the Privacy Policy for how mobile information is handled.
13. Changes and contact
We may update these Terms; material changes take effect 30 days after we post them and notify you in-product or by email. Continued use after that constitutes acceptance.
